A purchase offer is essentially a request for the seller to review the offer and decide whether they want to accept it. It should be noted that the buyer typically declares that they are bound by the purchase offer for a specific period of time (usually two weeks). This means that the buyer cannot withdraw their offer during this time. A binding purchase agreement is subsequently formed when the seller accepts the offer.<\/p>\n<h2 id=\"page-fristsetzung-fur-die-annahme\"><strong>Deadline for acceptance<\/strong><\/h2>\n<p>To avoid legal uncertainty, every purchase offer should include a clear acceptance period. This deadline gives the seller a precise timeframe in which they must accept the offer for it to remain valid. Without a deadline, the purchase offer could theoretically remain valid indefinitely. Once the deadline has passed, the offer expires automatically unless it has already been accepted by the seller.<\/p>\n<p>It is therefore advisable to provide the purchase offer with a clear deadline for acceptance, e.g., \u201eThis offer is valid until January 31, 2025.\u201c This ensures that the seller must respond quickly and within a set timeframe.<\/p>\n<h2 id=\"page-wichtige-details-im-kaufanbot\"><strong>Important details in the purchase offer <br \/><\/strong><\/h2>\n<p>In addition to information about the property itself, the purchase offer should contain all essential details of the intended real estate acquisition in order to avoid later misunderstandings. These include:<\/p>\n<ul>\n<li><strong>Price<\/strong>The asking price for the property must be clearly stated.<\/li>\n<li><strong>Service conditions<\/strong>All agreements regarding services, any additional services (e.g., furniture, repairs), or requirements for the seller (e.g., carrying out renovations) should be detailed in the offer.<\/li>\n<li><strong>Payment terms<\/strong>How is the purchase price paid? In what form (e.g., cash payment, bank transfer)? Is there a down payment or is the purchase price paid in installments?<\/li>\n<li><strong>Handover<\/strong>When and under what conditions will the property or goods be handed over? What exactly will be handed over (e.g., keys, documents, technical devices)?<\/li>\n<li><strong>Conditions for withdrawal<\/strong>Are there conditions under which the buyer can back out of the purchase (e.g., insufficient financing)?<\/li>\n<li><strong>Warranties<\/strong>Are there any known (legal) defects or ones for which the seller is to be held liable in the future? (e.g. contaminations, hidden defects, etc.)<\/li>\n<\/ul>\n<p>The more detailed and clear the purchase offer is formulated, the lower the probability of later disputes.<\/p>\n<h2 id=\"page-vorbehalte-und-aufschiebende-bedingungen\"><strong>Reservations and conditions precedent<\/strong><\/h2>\n<p>A purchase offer can also be subject to reservations or suspensive conditions. These offer the buyer additional protection and make the final obligation dependent on the occurrence of certain conditions.<\/p>\n<ul>\n<li><strong>Reservation<\/strong>A contingency ensures that the buyer can submit the offer under certain conditions that are important to them, e.g., \u201eThe offer is valid only on the condition that the buyer secures financing for the purchase price.\u201c The contingency allows the buyer to legally protect themselves if one of the conditions is not met.<\/li>\n<li><strong>suspensive condition<\/strong>In many cases, the purchase offer can be structured in such a way that the contract only becomes effective once certain conditions are met. A common condition precedent is, for example, the pending approval of the real estate transfer authority (in the case of the sale of agricultural land) or the still pending rezoning of green land into building land. Only when this precisely defined condition is met does the contract or the purchase offer become effective.<\/li>\n<\/ul>\n<h2 id=\"page-mogliche-anderungen-des-angebots\"><strong>Possible changes to the offer<\/strong><\/h2>\n<p>It can happen that changes become necessary after the purchase offer has been submitted. This can occur due to new information or changed circumstances. Make sure that any change to the purchase offer, whether regarding the price or other conditions, can be considered a new negotiation. If the original offer is changed, the seller must accept the modified terms before a new contract is concluded<\/p>\n<h2 id=\"page-fazit\"><strong>Conclusion<\/strong><\/h2>\n<p>Submitting a purchase offer is an important legal act that should be well thought out and carefully formulated. Clear conditions, a precise deadline, and the possibility of reservations and suspensive conditions provide the necessary protection for both buyers and sellers.
